[quote="Nyarin al'Batera":2xcdvu57]The logic behind the process was interesting to read.

Does the legal protection offered to authorised people signing things in the Tower's name include those outside of the US? I'm not quite sure how the laws work in regards to the corporation's overseas powers.
Yes, it should, Nyarin! A corporation is a legal person. So, if you personally wanted to rent a cabin in Italy, by signing the legal paperwork renting the cabin, you are binding yourself to the contract. Same thing for a corporation; generally speaking, if our authorized representative signs a contract on our behalf, whether it's in the USA or in Italy or in Nepal, then they are binding the corporation, not themselves personally. One important note here is that this only works if our authorized representative is acting on our behalf. Let's say that I decide I want to rent that cabin in Italy for my own personal enjoyment but I signed TarValon.Net's name anyway. Then let's say I trash the cabin and there's a lot of money owed for repairs. I would ultimately be personally responsible for the damages--even though I signed under the corporation--because I wasn't acting on the corporation's behalf, I was acting for my own personal benefit.[/quote:2xcdvu57]

I won't be too sure about that. Only if said legal person is recognised as such in a country you want to sign something it will be binding for the legal person, not the real person. If it isn't recognised as such, it isn't.

Very interesting history! Makes me love the site even more. I am still astounded by all the hard work so many people put into this site and the organization as a whole! You guys deserve the world's biggest High Five!

Interesting and educational read. Thanks for putting it together for us, Dralyn.

One question from someone not very business savvy: what's a CRO?

Oh sorry - "Crow T. Robot" is a witty character that helps a man trapped in a satellite keep his sanity as that man is forced by a mad scientist to watch some of the worst movies ever made (and nothing else).

This is an excellent presentation and explains the changes in a way that makes sense, which is difficult when dealing with mostly legal issues and who is legally responsible for paying our costs and how we will deal with liability. I was shocked at the bond they were requiring at the last Anni I attended, to just set up a single activity ( archery maybe?). I am also very impressed with the new board of directors. For some reason I was under the impression that we were incorporating as a charity, and having been a volunteer for a 501(c)3 It seemed to me that so many things would have to change that we wouldn't be us anymore, and I was very pleased to see that we were incorporated as a social club, which allows us to be a combination of a charitable organization with less restrictions on the social side of TarValon. I am also pleased that we will never be a democracy, because the Tower structure just isn't built for everyone to have an equal vote. Thanks to everyone who put so much into safeguarding our status, and integrating the incorporation nearly seamlessly to those not involved. You all did an amazing job and will take us well into the future :bow :clap :joy
